WITI Entrepreneur eSeries Session #2: "Intellectual Property"

WITI is pleased to present its signature educational series for entrepreneurs, the eSeries. The eSeries is designed for early stage information technology and life sciences companies. The course covers the essential items entrepreneurs need to know to get from a concept to funding: How do you put together an effective business plan? How can you identify and protect your intellectual property cost-effectively? What are the best ways to approach angel investors and VCs? Most critically, the eSeries course gives entrepreneurs a chance to develop their investor presentations and get feedback from experienced investors as well as legal advisors.

Eddie Wang Rodriguez of Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C. is the lead instructor for this five part course. Each session features guest speakers, including industry experts, entrepreneurs and investors.

The eSeries will be held at the offices of Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C., from 6:00-9:00 p.m. (Tuesday evenings, and Saturday, 2/24/2007, 9A-1P). Meals are provided.

Registration for the five-part series is $135/members and $150/non-members. Women and men entrepreneurs are invited to attend.

Session One - From Idea to Formation

Learn how to take an idea, develop it, put it in a business plan and then form the proper entity. Topics include:

• Developing the idea
• Preparing a business plan and executive summary
• Choice of Entities (partnerships, limited liability companies, corporations)
• Founder issues and other formation issues

Session Two �" Intellectual Property

Learn how to protect your start-up company’s most valuable asset �" its intellectual. Topics include:

• What are patents and a step-by-step explanation of the patent process
• What are copyrights/trademarks and a step-by-step explanation of the process
• Patent strategies to maximize value of the intellectual property and the company
• Issues related to licensing patents to or from third parties, including universities

Session Three - Initial Funding

Learn what the initial funding process is and how to raise seed/Series A funding. Topics include:

• Seed funding �" what is it and how to get it
• Review of a common seed funding methods such as convertible note financing
• Detail review of the Series A financing process, including what VCs are looking for in a Series A financing
• Review of a Preferred Stock Term Sheet and what and how to negotiate the term sheet

BIo of Lance Kurata:

Lance is a Member in the Mintz Levin San Diego office, where he practices in the Business and Finance Section. His practice is focused on intellectual property and technology licensing, strategic alliances, and joint ventures.

Lance's experience includes serving public and private companies in the pharmaceutical, biotechnology, medical device, software, hardware, telecommunications and electronic commerce industries. Lance has extensive commercial contract experience for life science and technology companies, including distribution and supply channels, development and consulting agreements, support services contracts, and electronic commerce contracting, and OEM agreements. He advises clients on general strategies for technology commercialization, as well as day-to-day operational issues in relation to technology assets. He has experience with public and private financings (including initial and follow-on securities offerings and venture capital funding) and general corporate representation of emerging growth and public companies.

Lance is admitted to practice in California. He is a member of the San Diego County Bar Association. He received his B.A., cum laude, from the University of California at Los Angeles (1992) and his J.D. from Stanford Law School (1996).

Bio of James Cleary:

James is a member in the Mintz Levin San Diego office, practicing in the Intellectual Property Section. His practice is focused on patent law, including preparation and prosecution of patent applications, rendering of opinions on infringement and validity, licensing, due diligence investigations, and client counseling, with an emphasis on electrical, telecommunications, software, and mechanical technologies.

James' internet and software experience includes the areas of enterprise applications, business warehouse and database platforms, computer graphics and presentation software, communications protocols and e-commerce applications. His electronics experience includes computer hardware, controls, and networking devices such as switches, routers, and digital cross-connects. His telecommunications experience includes wireless communications, particularly base station and antenna design. His mechanical technologies experience includes exercise and therapeutic equipment, medical devices and mechanical assembly systems.

James is admitted to practice in California and before the U.S. Patent and Trademark Office. He received his B.S. from the United States Air Force Academy (1989), his M.B.A. from Chapman University (1992), and his J.D. from University of California, Davis (1997).

Eddie Rodriguez is a member in the Mintz Levin San Diego office, where

focused on a full range of corporate and securities matters, including
corporate formation, mergers and acquisitions, venture financing,
technology licensing, and general business counseling for both public
and private companies. He has extensive experience with counseling
public and private companies in the life science, telecommunications,
software, hardware, e-commerce and information technology industries in
a broad range of transactional matters.
